THESE TERMS AND CONDITIONS APPLY ONLY TO THE PURCHASE AND SALE OF THE SERVICES DESCRIBED HEREIN AND OFFERED BY AWAE RETREATS LLC (HEREINAFTER REFERRED TO AS AWAE, US, WE, OR OUR AS THE CONTEXT MAY REQUIRE). ANY OTHER SERVICE ADMINISTERED BY A THIRD-PARTY (“THIRD-PARTY SERVICES”) WILL BE GOVERNED BY SUCH THIRD-PARTY’S PRIVACY POLICY AND TERMS OF SERVICE. 
THESE TERMS AND CONDITIONS TOGETHER WITH THE AWAE RETREATS LLC WAIVER AND CONSENT FORM, LOCATED ON OUR WEBSITE AND INCORPORATED HEREIN BY THIS REFERENCE, CONSTITUTE THE ENTIRE AGREEMENT FOR THE SERVICES FURTHER DESCRIBED HEREIN AND OFFERED BY AWAE (THE “TERMS”).   
THESE TERMS REMAIN SUBJECT TO CHANGE BY US WITHOUT PRIOR WRITTEN NOTICE AT ANY TIME, IN OUR SOLE DISCRETION. ANY CHANGES TO THESE TERMS WILL BE IN EFFECT AS OF THE “LAST UPDATED DATE” AND ACCESSIBLE VIA OUR WEBSITE AT AWAERETREATS.COM. YOUR CONTINUED USE OF THE SERVICE WILL CONSTITUTE YOUR ACCEPTANCE OF AND AGREEMENT TO ALL SUCH CHANGES TO THE TERMS.

1. ORDER ACCEPTANCE/CONFIRMATION. Your order is an offer to buy the Services under these Terms. Awae reserves the right to accept or reject orders in its sole discretion.
2. SERVICES. The services offered hereunder by Awae include: (a) in-person wellness and yoga retreats (“Retreats”); (b) in-person yoga classes, guided meditations, coaching, workshops, and training, other than those offered in connection with a retreat (“Onsite Services”); and (c) online yoga classes, guided meditations, coaching, workshops, and training offered via a website (“Online Programs”), (together Retreats, Onsite Services and Online Programs are collectively referred to hereinafter as the “Services”). 
3. SCHEDULES. Your participation in the Services is optional, and you are encouraged and empowered to participate or not as you desire. Please note that in connection with the Services provided herein, the times, dates, and locations are estimates and are subject to change. 
4. PRICING/PAYMENT.
   1. US Dollars. All prices are in US dollars.
   2. Prices Subject to Change. All posted or advertised prices posted are subject to change without notice. The price charged for the Service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Price increases will only apply to orders placed after such changes. Posted prices do not include taxes or charges for shipping and handling. Credit cards may require an additional credit card fee [and the retreat booking service (WeTravel) may require a processing fee that you agree to pay]. All such taxes and charges will be added to your order total (as applicable) and will be itemized in your order confirmation email. We are not responsible for pricing, typographical, or other errors in any offer made by us and we reserve the right to cancel without any liability any orders arising from such errors.
   3. Payment Terms; Method. Terms of payment are within Awae’s sole discretion and are currently processed via WeTravel. Payment processing is governed by WeTravel’s terms and conditions and privacy policies, available at https://www.wetravel.com/. Payment that is due can be made with most major credit cards. You represent and warrant that (i) the credit card information you supply to us is true, correct, and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, including all applicable taxes, if any.
5. Cancellations and Refunds. All registrations and bookings for the Services are subject to Awae’s cancellation policies listed below:
   1. Retreats. For Retreats, the $500 deposit is non-refundable and secures your spot on the Retreat. Full Retreat payments are due no later than 90 days before the Retreat. If you paid in full and need to cancel more than 90 days before the Retreat start date, you will be refunded your payment, excluding the $500 non-refundable deposit amount. If you cancel in less than 90 days before the Retreat start date, no refunds will be issued. Except in the event of a Force Majeure, if the Retreat needs to be cancelled by Awae, your deposit and payment will be fully refunded. No refund is available if you do not show up, or if you leave a retreat, event, or accommodation early. No refund is available if you arrive at the retreat location with symptoms of active infection or otherwise leave early for any health, emergency, or otherwise.
   2. Onsite Services. Some Onsite Services are subject to a non-refundable deposit or may otherwise require full payment at the time of booking. If you cancel or cannot attend for any reason, no refunds will be issued. In the event the session needs to be cancelled by Awae, your deposit and payment will be fully refunded.
   3. Online Programs. No refunds or credits are available for any Online Programs.
   4. Other Cancellations. No other refunds or credits are available.  Our cancellation policy applies to all other charges, fees, amounts, and payments set forth in these Terms. Please note that cancellation also includes any dismissal by Awae administration due to your violation of these terms or any other related agreements or policies. AWAE RESERVES THE RIGHT TO CANCEL ANY SERVICE OR PROGRAM AT ANY TIME. IN THIS EVENT, YOU WILL BE GIVEN A COMPLETE REFUND OR CREDIT (AT OUR DISCRETION) EXCEPT IN THE EVENT OF A FORCE MAJEURE. ANY REFUND GRANTED WILL BE CREDITED BACK TO THE ORIGINAL PAYMENT METHOD OR CARD; AND ANY CREDITS GRANTED AT THE DISCRETION OF AWAE WILL BE APPLIED TO YOUR AWAE ACCOUNT AND WILL REMAIN VALID FOR A PERIOD OF 12 MONTHS FROM THE DATE OF CANCELLATION.
6. PARTICIPANT RESPONSIBILITIES. For Retreats and Onsite Services, you are responsible for transportation to and from the location, and any additional costs related to your attendance (e.g., excluded meals, excluded activities, etc.) unless expressly included in the specific Retreat or other Service package. You are strongly encouraged to obtain comprehensive travel insurance for Retreats.
7. RELEASE OF LIABILITY. You hereby release Awae from all liability arising out of or related to Services or Programs provided by Awae.
8. WAIVER. You hereby waive and release Awae from all liability arising out of or related to your participation in the Services. You hereby acknowledge and agree that you are participating in the Services and any Third-Party services at your own risk.
9. ASSUMPTION OF RISK. You hereby acknowledge and agree that you are aware of the risks associated with the Services and any Third-Party Services and agree to assume the risks associated with such participation.
10. INDEMNIFICATION. You hereby indemnify and agree to hold harmless Awae from and against all claims, damages, losses, liabilities, costs, and expenses (including both party’s attorney fees that may arise whether negligence or otherwise) arising out of or related to your participation in the Services and Programs. 
11. WEBSITE PRIVACY STATEMENT. We understand the importance of protecting your privacy while online. This privacy statement explains the data collection and use practices of our website. We collect personally identifiable information from you when you register for our Services. This information may include your name, email address, and payment information. We may also collect non-personally identifiable information, such as your IP address, browser type, and operating system. We use the personally identifiable information you provide to process your orders, respond to your inquiries, and provide customer service. We may also use your information to personalize your experience.
12. PHOTOGRAPHS & VIDEO.  
    1. Release. You consent to Awae using your likeness for promotional purposes without compensation. 
    2. Restrictions. Participants may take photographs and videos for personal use, provided they do not disrupt others. Awae reserves the right to restrict or prohibit photography at its discretion. 
13. INTELLECTUAL PROPERTY.  All materials created by Awae, including logos and branded assets, are the property of Awae and may not be used without written consent.
14. SEVERABILITY. If any provision herein is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.
15. DISPUTES. Disputes will first be attempted to be resolved through mediation, with costs shared equally. If mediation fails, disputes will be resolved through binding arbitration in Texas under the American Arbitration Association rules.  Legal actions will be brought exclusively in Travis County, Texas.
16. GOVERNING LAW. These Terms shall be governed by the laws of the State of Texas, under the jurisdiction in Travis County (Austin, TX). You consent to jurisdiction in Texas and waive your right to jurisdiction anywhere else, even if you are not a United States citizen.
17. FORCE MAJEURE. Awae is not liable for delays or cancellations due to events beyond its control, such as natural disasters, pandemics, or government restrictions (“Force Majeure”). Participants are responsible for all travel-related expenses in the event of a Force Majeure. 

Full payment is required at the time of booking. If you cancel or cannot attend for any reason, no refunds will be issued. In the event the session needs to be cancelled by Awae, your deposit and payment will be fully refunded.

By booking, you acknowledge and agree to the following: 

Health & Medical Responsibility

1. I represent and warrant that I am in good physical health and do not suffer from any medical conditions, disabilities, or injuries that would limit my participation in yoga classes, workshops, or retreats offered by Awae Retreats LLC.
2. I understand that it is my responsibility to consult a physician before participating in any yoga or wellness activities, including but not limited to online and in-person yoga classes, guided meditation, breathwork, retreats, and physical exercises.
3. I acknowledge that Awae Retreats LLC is not responsible for any medical conditions, complications, or injuries that may arise from my participation in these activities.

Acknowledgment of Risks & Injuries

I understand and acknowledge that participation in yoga and related activities involves inherent risks, including but not limited to:

• Strains, sprains, or muscle injuries
• Joint, ligament, or bone injuries
• Dizziness, fainting, or loss of balance
• Breathing difficulties or hyperventilation
• Worsening of pre-existing conditions or undiagnosed medical issues
• Emotional or psychological responses to deep breathing, meditation, or physical movement
• Injuries resulting from the use of yoga props, mats, or studio equipment
• Risks associated with outdoor retreats, including uneven terrain, environmental hazards, insects, and weather conditions

I accept full responsibility for my own well-being and assume all risks associated with my participation.

Release of Liability & Waiver of Claims

By signing this agreement, I voluntarily waive, release, and discharge Awae Retreats LLC, its instructors, employees, contractors, and retreat organizers from any and all claims, liabilities, or demands arising from:

1. Injuries, accidents, or medical conditions that may occur before, during, or after participation in any class, workshop, or retreat.
2. Any physical or emotional discomfort or distress caused by participation.
3. Any loss, theft, or damage to personal property while at a Awae Retreats LLC class, event or attending a retreat.

I agree that Awae Retreats LLC is not responsible for any negligent acts, omissions, or unforeseen circumstances that may result in injury or harm.

Emergency Medical Authorization

In the event of a medical emergency, I authorize Awae Retreats LLC staff to seek emergency medical treatment on my behalf if I am unable to do so. I understand that I am responsible for any medical expenses incurred.

Photo & Video Release

I give permission for Awae Retreats LLC to use images (including still and video) of me taken during yoga classes, workshops, or retreats for promotional purposes without compensation.
Wellness Retreats & Travel (If Applicable)I acknowledge that participating in a wellness or yoga retreat may involve travel, excursions, and physical activities outside of regular yoga practice. I understand that Awae Retreats is not responsible for any personal injury, illness, loss, or damage to personal property that may occur during travel, lodging, or retreat activities. I am responsible for obtaining my own travel insurance and agree to abide by all cancellation and refund policies. I understand Awae Retreats strongly recommends I purchase comprehensive travel insurance.

Severability & Governing Law

If any part of this agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full effect. This agreement shall be governed by the laws of the State of Texas.I have carefully read and fully understand the terms of this Waiver and Consent. I voluntarily agree to the terms and conditions set forth above.
